Terms of Service

1. Acceptance of Terms

By accessing or using ReelNite ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you and ReelNite. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those modifications.

2. Eligibility

You must be at least thirteen (13) years of age to create a ReelNite account. If you are under the age of majority where you live, use of the Platform must be permitted and supervised as required by applicable law. An account holder may create an account-holder-managed Kids Profile with maturity filters and household parental-PIN controls. A Kids Profile is not a separate account, and a person under 13 may not create or independently control an account.

3. Account Registration & Security

To access certain features, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised. For support purposes, authorized Platform personnel may use controlled support-view access when needed to troubleshoot an account; that access is restricted and logged.

4. Free Viewing, Creator Subscriptions & Live Tickets

Eligible ReelNite catalog viewing is offered without a required new platform-wide paid membership and may include advertising. Viewers may separately purchase optional subscriptions offered by individual creators or studios and may purchase access to eligible Live events. Creator subscription benefits, Live access rules, ticket tiers, prices, replay windows, and other purchase terms are shown before purchase and can vary by creator or event.

Creator subscriptions renew automatically until canceled unless the checkout terms state otherwise. Cancellation normally stops future renewal while preserving eligible benefits through the current paid period. Ticket purchases provide access only to the applicable event and any replay window expressly included with the ticket. Refund eligibility depends on the purchase terms, event circumstances, payment status, and applicable law.

ReelNite previously offered Standard and Premium platform memberships. New sales of those legacy plans may be closed while existing paid memberships continue through their applicable billing lifecycle and paid period. ReelNite will not silently remove benefits already owed for an active paid period.

5. Content & Intellectual Property

Creators retain full ownership of all content they upload to the Platform ("Creator Content"). By uploading Creator Content, you grant ReelNite a worldwide, royalty-bearing license that is non-exclusive unless a separate written agreement expressly provides otherwise to host, store, transcode, distribute, publicly display, publicly perform, reproduce, and promote your Creator Content on and through the Platform, including in marketing materials and social media. The Platform's own branding, software, design, and proprietary content are owned exclusively by ReelNite and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of Platform-owned content without express written permission.

6. Creator Earnings & Net Receipts

Creator earnings are governed by the applicable Studio or title agreement. For creator subscriptions and eligible Live events using ReelNite's standard direct-fan model, the standard creator share is seventy percent (70%) of defined Net Receipts and ReelNite's share is thirty percent (30%), unless a separately approved written agreement states otherwise.

For these transactions, Net Receipts means gross receipts actually recorded for the eligible transaction less permitted direct deductions reflected in ReelNite's financial records, which can include taxes, refunds, chargebacks, payment-processing costs, recurring billing-service costs where applicable, and direct Live delivery costs for eligible events. ReelNite's general company overhead is paid from ReelNite's share and is not an additional deduction before calculating the standard 70/30 split.

Free-view advertising and other creator revenue programs can use separately governed revenue rules shown in the applicable Studio or title agreement. Creator earnings remain subject to payout eligibility, fraud and rights review, payment reversals, disputes, holds, tax requirements, and later financial adjustments. Stripe Connect or another approved payout setup must be complete before an eligible transfer can be sent.

7. Creator Content License & Tiers

The default ReelNite creator license is non-exclusive unless ReelNite and the rights holder enter into a separate written agreement. ReelNite may offer Partner, Original, promotional, commissioned, or other negotiated arrangements. Any exclusivity period, guaranteed placement, removal notice, revenue share, or other special term applies only when it is stated in the applicable written creator agreement. Content may also be restricted or removed when required by law, a valid rights claim, platform safety rules, fraud controls, or other enforceable obligations.

8. Advertising & Sponsored Live

Free playback may include advertising delivered through ReelNite's configured ad systems. ReelNite controls platform ad eligibility, placement, pacing, frequency, and delivery and may use direct campaigns, programmatic demand, sponsorships, or server-side insertion where supported. Creators may not insert undisclosed third-party advertising into uploaded content without prior written approval.

Some Live events may be sponsor-supported and available to viewers without a ticket. Sponsorship commitments, creator promotional funding, platform promotional funding, and Live delivery budgets are governed separately from ordinary viewer access. Paid ticket events will not include ordinary interruptive advertising unless that event's disclosed experience and applicable agreements permit it.

9. Shop & Marketplace

ReelNite Shop currently supports approved physical products. Secure digital fulfillment is not offered unless ReelNite expressly enables it in the future. The seller share used for each order is captured at checkout from the seller's approved agreement and ReelNite's then-current Shop settings. Sellers are responsible for accurate listings, lawful products, inventory, fulfillment, shipping, delivery, and seller-side customer service obligations. ReelNite processes checkout, calculates supported transaction amounts through its payment and tax providers, records seller earnings, and governs refunds, disputes, payout holds, and seller recovery through the Shop order system. A seller may not promise a return or refund policy that conflicts with ReelNite's checkout terms or applicable law.

9.1 Affiliate Program Terms

Affiliate eligibility, commissionable purchases, rates, qualification windows, payout minimums, and active program status are controlled by the current Affiliate dashboard and applicable program terms. ReelNite may close or revise legacy conversion products when the underlying product is no longer offered to new customers. No affiliate is entitled to commission for a transaction unless the transaction is expressly eligible under the active Affiliate program when the qualifying purchase occurs.

10. Prohibited Conduct

You agree not to:

  • Upload, distribute, or transmit content that infringes any third-party intellectual property rights
  • Upload content depicting child sexual abuse material (CSAM) or exploitation of minors
  • Circumvent, disable, or interfere with security features, DRM, or access controls
  • Use bots, scrapers, or automated tools to access the Platform without authorization
  • Redistribute, download, screen-record, or re-stream Platform content
  • Engage in harassment, hate speech, threats, or doxxing of other users or creators
  • Artificially inflate view counts, engagement metrics, or revenue through fraudulent means
  • Use the Platform for money laundering, fraud, or any illegal purpose
  • Share account credentials or operate multiple accounts to circumvent restrictions
  • Upload malware, viruses, or any code designed to disrupt the Platform
  • Impersonate any person or entity, or misrepresent your affiliation
  • Solicit personal information from minors

11. Content Moderation & Removal

Uploaded content may be reviewed before or after publication. ReelNite may reject, remove, restrict, hold, or demonetize content that violates these Terms, applicable law, an applicable Studio agreement, or platform policy. Where ReelNite provides a review or appeal process, the available steps and deadlines shown with that decision will apply. Copyright claims and repeat-infringer decisions are handled through ReelNite’s governed copyright process rather than an automatic strike-count rule.

12. Children's Safety

ReelNite accounts are intended for users age 13 and older. Account holders may create and manage Kids Profiles that apply maturity filters and household parental-PIN controls; those profiles are not separate child accounts. ReelNite does not knowingly permit children under 13 to create or independently control accounts. If ReelNite learns that an under-13 user has provided personal information contrary to this policy, the account and information will be handled through the applicable privacy and safety process. Creators remain responsible for complying with laws and platform rules applicable to content directed to children.

13. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

14. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REELNITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless ReelNite, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your Creator Content or products sold through the Shop; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) any claim that your content caused damage to a third party. This indemnification obligation survives termination of your account and these Terms.

16. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Florida, United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND REELNITE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access to the Platform.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

17. Termination

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. You may terminate your account at any time through your account settings. Upon termination, your right to use the affected account or features may cease. Creator, seller, advertiser, affiliate, refund, dispute, and payout balances remain subject to the applicable agreement, minimums, holds, reversals, fraud review, payment-provider status, and legal obligations. Content rights and any continuing distribution obligations are governed by the applicable written agreement. ReelNite may retain or de-identify records as described in the Privacy Policy and as otherwise permitted or required by applicable law.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes via email to the address associated with your account and/or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and terminate your account before the effective date.
